USE OF NIKE CONTENT ON SITE: The NIKE Content provided on the Site, including product images, designs and information; marketing images (including but not limited to trademarks and other logos), designs, plans and tools; and all other product, marketing and business-related information and data ('NIKE Content'), are highly valuable, confidential, and the exclusive property of NIKE and/or its licensors. Except as otherwise authorized or restricted in writing by NIKE, you may download, print, copy and/or use the NIKE Content found on the Site only for the purpose of doing business with NIKE. Except as otherwise authorized in writing by NIKE, you are not entitled to disclose the NIKE Content to any third parties, or to alter or distribute NIKE Content in any respect. You agree not to alter or remove any proprietary notices (such as copyright and trademark notices and patent numbers) from NIKE Content downloaded from the Site. This is a license, not a transfer of title to any NIKE Content. Nothing in this Agreement or on the Site shall be construed as conferring any license to use the NIKE Content for any purpose other than as described above, nor shall anything in this Agreement or on the Site confer any license or other rights with respect to the NIKE name or trademarks or any other NIKE intellectual property.

CONFIDENTIALITY OF LOGIN ID AND PASSWORD: You agree to keep your login ID and password strictly confidential.

CONFIDENTIAL INFORMATION: You agree that the NIKE Content on the Site is conclusively presumed to be NIKE's confidential and proprietary information. You shall protect NIKE's proprietary and confidential information from disclosure with the same degree of care that you would exercise in protecting your own information that you do not wish to be disclosed to the public, and, at a minimum, with reasonable care. In particular, unless authorized by NIKE in writing, you shall (a) refrain from copying any document or electronic file embodying or relating to NIKE's confidential information; (b) refrain from divulging confidential information to third parties and protect electronic files and other media on which such information is stored from unauthorized access by third parties; and (c) instruct any employee, contractor, agent, or representative who may, in the course of conducting your business, have access to NIKE's confidential information, to refrain from divulging such information to any person without NIKE's prior written approval.

DISCLAIMER OF WARRANTY: NIKE and its licensors do not warrant or represent that the Site's content is accurate, complete, or up-to-date, nor do NIKE or its licensors warrant or represent that access to and use of the Site or associated server(s) will be uninterrupted, error-free, and/or free of computer viruses or other harmful components. The Site content and/or NIKE Content may include technical inaccuracies or typographical errors. All of the NIKE Content provided on the Site, including all of the NIKE Content available on linked sites, are provided on an 'as is' and 'as available' basis and without warranties of any kind, either express or implied. To the fullest extent not prohibited by law, you hereby waive, and in no event shall NIKE or its licensors be liable to you or any person or entity for, any losses, injury or indirect, punitive, special, incidental or consequential damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of information or use, or other economic advantage) however it arises, whether in contract, tort, or for breach of statutory duty or otherwise, relating to the Site or NIKE Content, even if NIKE or a licensor has been previously advised of the possibility of such damage. CHANGES TO THE SITE AND MATERIALS: NIKE may make changes to the Site at any time without notice. Changes are periodically made to the Site.

THIRD PARTY LINKS. In an attempt to provide you with increased value, we may include third party links on our Site. However, even if the third party is affiliated with NIKE, we have no control over these linked sites which have separate and independent privacy and data collection or other practices. We therefore have no responsibility or liability for the content and activities of these linked sites and you therefore access them at your own risk.

TERMINATION OF ACCESS TO SITE/ENFORCEMENT/INDEMNIFICATION: NIKE may terminate your access to the Site and the foregoing license at any time for any reason, with or without cause. Grounds for termination of your access to the Site include, but are not limited to: unauthorized use of NIKE Content and sharing your login ID and password. In addition, you must inform NIKE of your termination of employment or association with a Business Associate, which is a condition to your access to the Site. You agree to indemnify and hold NIKE and its licensors harmless from, and you agree not to sue NIKE or its licensors for, any claims based upon your use of the Site and/or NIKE Content in violation of the terms of this Agreement. In the event that you contribute any materials to the Site, you agree to indemnify and hold NIKE harmless from any claims arising from them.

APPLICABLE LAW/SURVIVAL OF TERMS: NIKE makes no representation that the Site or the NIKE Content is appropriate or may legally be used in the nation, state, province or other jurisdiction in which you or your company resides, does business, or is incorporated or organized, and access to the Site or the NIKE Content is prohibited from jurisdictions where the Site or NIKE Content or their content is illegal. Those who choose to access the Site do so on their own initiative and are responsible for compliance with applicable laws. You may not use or export the NIKE Content in violation of U.S. or any other country's export laws and regulations. Except for Business Associates residing in Europe, any legal proceeding relating to the Site shall be brought in Portland, Oregon and shall be governed by Oregon and U.S. law. For Business Associates residing in Europe, any legal proceeding relating to the Site shall be brought in the Netherlands and shall be governed by Dutch Law. The provisions of this Agreement regarding intellectual property rights, confidentiality, warranty disclaimers, liability limitations and indemnification shall survive any such termination.

II. PRIVACY STATEMENT The following policy describes how NIKE, Inc. collects protects and uses information received from visitors to the Site.

COLLECTION/STORAGE OF PERSONALLY IDENTIFIABLE INFORMATION? We collect and store all personally identifiable information you voluntarily submit to us while using the Site, such as name, title, and e-mail address, and the user-id and password we provide to you. We also may track and store information about your activities while using the Site (e.g., what pages you visit, what documents you download). DO WE USE 'COOKIES'? Yes.
